Dispute Resolution Data, LLC

1.  Confidential information

DRD will make available to User Tester certain Confidential Information in connection with the test.  As used in this Agreement, the term “Confidential Information” shall include information that identifies DRD’s methods, expertise, data templates, processes, know-how, tools, inventions, products, services, trade secrets and certain intellectual property developed by DRD.

2.  Obligations

User Tester agrees to exercise commercially reasonable care to protect Confidential Information from unauthorized disclosure.

3.  No License Granted

The exchange of Confidential Information described in this Agreement shall not be construed as a grant of an express or implied license or other right with respect to DRD’s patent, copyright, trademark, trade secret, or other intellectual property rights.

4.  Relationship Between the Parties

Nothing in this Agreement creates a partnership, joint venture or agency relationship between the parties.

5.  Term

This Agreement and the obligations of the Parties herein shall remain in effect for as long as permitted pursuant to applicable law, unless sooner terminated by mutual written agreement of the Parties.
